Dear Mr. O’Sullivan,
I have the pleasure to confirm that the Ministry of Economy of the Republic of Slovenia and the Ministry of Foreign Affairs of the Republic of Slovenia will together make a financial contribution of 200.000,- EUR to the OECD to finance the OECD Investment Compact Programme 2009-2010.
The Ministry of Economy of the Republic of Slovenia, the Ministry of Foreign Affairs of the Republic of Slovenia and the Organisation for Economic Co-operation and Development (the OECD) have agreed as follows:
1. The OECD, acting through the Investment Compact for South East Europe, within the Directorate for Financial and Enterprise Affairs, will undertake the work specified in the Programme of Work and Budget for 2009/2010 (PWB 2009-2010). The Ministry of Economy of the Republic of Slovenia and the Ministry of Foreign Affairs of the Republic of Slovenia both agree to finance together this programme for a total amount of 200.000,- EUR over a period of two years, 2009 and 2010. This contribution covers costs incurred between 1 January 2009 and 31 December 2010.
2. The contribution will be paid by each ministry in the amount of 100.000,- EUR in two instalments as follows:
- the first instalment of 125.000,- EUR will be paid in 2009 upon signature of this agreement and receipt of the corresponding invoice from the OECD by both ministries (Ministry of Economy of the Republic of Slovenia will contribute 100.000,- EUR, Ministry of Foreign Affairs of the Republic of Slovenia will contribute 25.000,- EUR),
- the second instalment of 75.000,- EUR will be paid upon receipt of the final narrative and financial reports and the corresponding invoice from the OECD (Ministry of Foreign Affairs of the Republic of Slovenia will contribute 75.000,- EUR) and no later than 30 June 2011.
3. The contribution will be administered according to the Financial Regulations of the OECD and other relevant OECD rules, policies and procedures, which provide for the charging of an administrative overhead, currently set at 4.5% of the amount offered. The expenditures will be recorded in the accounts of the OECD, which will be subject to audit in accordance with the OECD’s standard audit procedures.
4. The results of the project, in whatever form, shall be the sole property of the OECD.
5. Reporting:
Substantive reporting requirements will be deemed to be met by the final report on activity of the Investment Compact on progress of implementation of the programme in 2009-2010. The Ministry of Economy of the Republic Slovenia and the Ministry of Foreign Affairs of the Republic of Slovenia agree that financial reporting requirements are met by a final expenditure report for this contribution sent by the OECD upon completion of the PWB 2009-2010 period and no later than 30 June 2011.
6. Mutually agreed supplements can be made to this grant agreement in the form of an exchange of letters between the OECD, the Ministry of Economy of the Republic of Slovenia and the Ministry of Foreign Affairs of the Republic of Slovenia.
7. Unspent balances at the end of the PWB 2009-2010 period will be available for expenditure on the same work area assuming that there is a continuation of the work. Uncommitted funds given for work that will be discontinued shall be refunded to the Ministry of Economy of the Republic of Slovenia and the Ministry of Foreign Affairs of the Republic of Slovenia, unless otherwise agreed.
8. The OECD will inform the Ministry of Economy of the Republic of Slovenia and the Ministry of Foreign Affairs of the Republic of Slovenia of any significant changes to the programme of work referred to in this agreement.
9. Any dispute, controversy or claim arising out of or relating to the interpretation, application or performance of this agreement, including its existence, validity or termination, shall be settled by final and binding arbitration in accordance with the Permanent Court of Arbitration Optional Rules for Arbitration involving International Organizations and States, as in effect on the date of this agreement. The number of arbitrators shall be one. The arbitrator shall be chosen by agreement between the OECD and the Ministry of Economy of the Republic of Slovenia and the Ministry of Foreign Affairs of the Republic of Slovenia, or failing such agreement within three months following the request for arbitration, the arbitrator shall be appointed in accordance with the aforementioned Rules at the request of either Party. The arbitration shall take place in Paris, France and all proceedings and submissions shall be in the English language.
10. This agreement shall enter into force 60 days after the signature by the second of the two Parties and shall provisionally apply from the day of the last signature. It shall remain in force until 30 June 2011.
